Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your") and ThreadMind ("we," "us," "our") governing your access to and use of the ThreadMind product, website, application programming interfaces (APIs), browser extension, and any related services (collectively, the "Service").

By accessing or using the Service, you represent and warrant that: (a) you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms; (b) you have the authority to bind yourself or any entity you represent to these Terms; (c) you are not prohibited from using the Service under applicable law; and (d) you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms or the Privacy Policy, you must not access or use the Service. Your continued use of the Service after any change to these Terms constitutes your acceptance of the revised Terms.

ThreadMind is an intelligence layer that operates in connection with your browser and, when you choose to connect them, your email and other data sources. The Service may read, analyze, summarize, and connect information (including page content, messages, and other content you authorize) to provide features such as:

• Analysis and summarization of web pages and selected text.
• Email and message summarization, draft suggestions, and related tools.
• Memory and connection features that link and recall information across sessions.
• Watcher and alert features that monitor specified URLs or conditions and notify you based on your preferences.
• Other AI-powered or analytical features we make available from time to time.

The Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted, error-free, or fit for any particular purpose. Descriptions of the Service are for informational purposes and do not constitute a commitment to provide any specific functionality.

You may use the Service only for lawful purposes and in accordance with these Terms and all applicable local, state, national, and international laws, rules, and regulations. You are solely responsible for your use of the Service and for any content, data, or materials you provide, upload, or process through the Service.

You must ensure that your use of the Service and any content you process through it does not violate any third-party rights (including intellectual property, privacy, or confidentiality rights) or any agreements you have with third parties (including employers, clients, or data subjects). You are responsible for obtaining any necessary consents or authorizations before using the Service with content that belongs to others or is subject to contractual or legal restrictions.

You agree not to use the Service, or permit or encourage any third party to use the Service:

• In any way that violates any applicable law, regulation, or legal obligation.
• To infringe, misappropriate, or violate the intellectual property, privacy, or other rights of any person or entity.
• To transmit, store, or process any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• To distribute malware, viruses, or other harmful code, or to attempt to gain unauthorized access to any system, network, or data.
• To scrape, crawl, or use automated means to access the Service or any third-party content in a manner that violates our systems, policies, or the terms of any third party.
• To reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying ideas of the Service, except to the extent expressly permitted by applicable law.
• To circumvent, disable, or interfere with any security, access control, or usage limits of the Service.
• To resell, sublicense, or commercially exploit the Service or any output of the Service in a manner not expressly permitted by us.
• To use the Service to build a competing product or service, or to benchmark the Service for purposes of developing a competing product or service, without our prior written consent.
• In any manner that could damage, disable, overburden, or impair the Service or our infrastructure, or that could harm or negatively affect us, other users, or any third party.

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any actual or suspected violation of these Terms or for any other reason we deem necessary to protect the Service, our users, or third parties.

When you use the Service to process page content, email, or other third-party content, you represent and warrant that you have all necessary rights, consents, and authorizations to provide such content to us and to allow us to process it as described in these Terms and our Privacy Policy. You are solely responsible for ensuring that your use of the Service with such content complies with all applicable laws and with any agreements you have with the owners of that content or with data subjects (e.g., employer policies, client confidentiality, privacy laws).

We process content solely to provide the Service to you and in accordance with our Privacy Policy. By submitting or enabling processing of content through the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to use, process, store, and transmit that content only as necessary to operate and provide the Service, to improve the Service (including in aggregated or de-identified form), and as otherwise described in our Privacy Policy. This license survives until the content is deleted in accordance with our retention practices.

We do not retain raw page content or full email or message bodies beyond what is technically necessary to complete the specific feature you have requested (e.g., a single analysis or summarization request). Our systems are designed to process content on a per-request or limited-session basis and not to store complete copies of your browsing or email content. Any derived data (e.g., summaries, memory, connections) that we retain is described in our Privacy Policy and is subject to our data retention and deletion practices. Nothing in these Terms or our practices should be construed as our storing or retaining your raw content for longer than necessary for the stated purposes.

The Service, including all software, design, text, graphics, logos, and other content and materials we provide (other than content you submit), and all intellectual property rights therein, are owned by us or our licensors. These Terms do not grant you any right, title, or interest in or to the Service or our intellectual property except the limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms.

You retain ownership of any content you submit through the Service. You grant us the license set forth in the "Page Content and Email Processing" section with respect to content you submit or enable us to process. If you provide us with feedback, ideas, or suggestions regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service and our business without any obligation to you.

You may not copy, modify, distribute, sell, or lease any part of the Service, or reverse engineer or attempt to extract the source code of the Service, except to the extent expressly permitted by applicable law or with our prior written consent.

Outputs generated by the Service (including summaries, suggestions, drafts, analyses, and other AI-generated content) are provided for informational and assistive purposes only. They may be incomplete, inaccurate, or unsuitable for your particular situation. We do not guarantee the accuracy, completeness, reliability, or suitability of any such output for any purpose.

You are solely responsible for reviewing, verifying, and deciding whether and how to use any output from the Service. You assume all risk associated with your use of or reliance on such output. We are not liable for any loss or damage arising from your use of or reliance on AI-generated output.

The Service and any output it produces do not constitute and shall not be relied upon as legal, financial, tax, medical, or other professional advice. We do not provide such advice. Any information or output provided by the Service is for general informational purposes only and may not apply to your specific situation. You should consult qualified professionals for advice tailored to your circumstances. We disclaim all liability for any action or inaction you take based on the Service or its output.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
• IN NO EVENT SHALL WE, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
• IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
• SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless ThreadMind and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or related to: (a) your use of the Service; (b) any content you submit, process, or enable through the Service; (c) your violation of these Terms or any applicable law; (d) your violation of any third-party right, including any intellectual property, privacy, or other right; or (e) any dispute between you and any third party in connection with the Service. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense. You will not settle any claim that affects us or our affiliates without our prior written consent.

We may suspend or terminate your access to the Service, or your account, at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent or illegal activity, abuse of the Service, non-payment of fees (if applicable), or any conduct we determine to be harmful to the Service, other users, or third parties.

You may stop using the Service at any time and may close your account through the Service or by contacting us. Upon termination, your right to use the Service ceases immediately. We may delete or retain your data in accordance with our Privacy Policy and applicable law.

Provisions of these Terms that by their nature should survive termination (including without limitation ownership, disclaimers, limitation of liability, indemnification, and governing law) shall survive any termination of your access or these Terms.

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. For material changes that we determine require additional notice, we may provide notice by email, in-product notification, or other reasonable means. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and may close your account. Any dispute arising before the revision will be governed by the Terms in effect when the dispute arose. We encourage you to review these Terms periodically.

These Terms and any dispute or claim arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction and venue of such courts. You waive any objection to such jurisdiction or venue. Nothing in these Terms limits either party's right to seek injunctive or other equitable relief in any court of competent jurisdiction.
